These Terms & Conditions ("Terms") govern your use of Zad Organics services and all supply, sales, delivery, and related transactions provided by ZAD ORGANICS GOODS WHOLESALERS L.L.C("Zad Organics", "we", "our", or "us"). By contacting us, or otherwise engaging with our services, you acknowledge and agree to be bound by these Terms.
Scope of Services
Zad Organics supplies food products to business customers across the United Arab Emirates. Our services include the wholesale supply of fresh poultry, meat, egg and staples products, delivery and logistics, and product traceability through our Zad Verify platform.
Use of the website
You may browse the site for lawful purposes related to learning about our products, delivery, traceability (e.g. Zad Verify), and contacting Zad Organics. You agree not to misuse the site, attempt unauthorized access, scrape in violation of these terms, or upload harmful content through any form or channel.
Information and availability
Product descriptions, imagery, and availability on this site are for general information. Wholesale availability, pricing, specifications, and delivery are subject to confirmation on enquiry. Nothing on this site constitutes an offer until confirmed according to your commercial agreement or order process.
Orders & Acceptance
Orders may be placed via phone, WhatsApp, or other mutually agreed communication channels. All orders are subject to availability and confirmation by Zad Organics. We reserve the right, at our sole discretion, to accept or reject any order without obligation to provide a reason.
Pricing
All prices are agreed at the time of order confirmation. Prices may vary depending on market conditions and may be adjusted without prior notice. Unless explicitly stated otherwise, all prices are exclusive of applicable Value Added Tax (VAT).
Product Nature & Weight Variations
Food products are natural items and may vary in weight and size. The customer acknowledges that slight variations in weight and quantity may occur. Final invoicing shall be based on the actual delivered weight. A reasonable variance of up to plus or minus five percent (±5%) in weight or quantity shall be considered acceptable and shall not constitute a breach of order.
Delivery
Delivery timelines provided by Zad Organics are estimates only and may vary due to operational, logistical, or external factors. Customers are responsible for ensuring that they or their authorized representatives are available to receive the goods at the agreed delivery location and time. Ownership and risk in the goods shall transfer to the customer upon delivery. In the event that delivery cannot be completed due to customer unavailability, incorrect information, or refusal to accept delivery, Zad Organics reserves the right to reschedule the delivery and/or apply additional charges.
Inspection & Acceptance
Customers are required to inspect all goods at the time of delivery. Any discrepancies, defects, or issues must be reported immediately upon receipt. Acceptance of the goods shall be deemed as confirmation that the products are in satisfactory condition. Claims raised after acceptance may not be considered.
Returns & Refunds
Due to the perishable nature of the products, returns are not accepted once delivery has been completed. Refunds or replacements shall only be considered in cases of verified quality issues or incorrect delivery, as determined and agreed by Zad Organics.
Payment Terms
Payment terms shall be agreed upon with each customer, whether on a cash or credit basis. All invoices must be settled within the agreed payment period. Failure to make payment within the specified timeframe may result in suspension of further deliveries. Zad Organics reserves the right to take appropriate measures to recover any outstanding amounts.
Credit Terms
Credit facilities may be extended to customers at the sole discretion of Zad Organics. Approved credit terms, including the duration of credit, shall be communicated to the customer in advance. In the event of late payment, Zad Organics reserves the right to suspend further supply, revoke any granted credit facilities, and require advance payment for future orders. All outstanding balances must be cleared before new orders are processed. Zad Organics also reserves the right to impose or revise credit limits at any time without prior notice.
WhatsApp & Communication
The customer agrees that Zad Organics may communicate through WhatsApp or similar communication platforms for the purpose of delivery updates, order confirmations, and operational coordination. Zad Organics does not send promotional or marketing messages without explicit consent.
Zad Verify
Zad Verify is a traceability platform designed to provide transparency regarding product sourcing and supply chain information. All information provided through Zad Verify is made available on a best-effort basis and reflects the data available at the time. Zad Organics does not guarantee the completeness, historical accuracy, or real-time accuracy of such information. The platform displays only product and business-level data and does not disclose personal contact information. Zad Verify is intended for informational purposes only.
Limitation of Liability
To the maximum extent permitted by applicable law, Zad Organics shall not be liable for any indirect, incidental, or consequential losses, including but not limited to business interruption or loss of profits. In all cases, the total liability of Zad Organics shall not exceed the value of the goods supplied under the relevant transaction.
Force Majeure
Zad Organics shall not be held liable for any delay or failure in performance resulting from events beyond its reasonable control, including but not limited to adverse weather conditions, transportation disruptions, government actions, supply chain interruptions, or other unforeseen circumstances.
Compliance & Food Safety
Zad Organics operates in compliance with applicable food safety regulations in the United Arab Emirates. Upon delivery, the customer assumes full responsibility for proper storage, handling, and maintenance of the products. Zad Organics shall not be responsible for any deterioration in product quality resulting from improper storage or handling after delivery.
Data & Privacy
All customer data is collected and processed in accordance with Zad Organics' Privacy Policy.
Intellectual Property
All content, trademarks, branding, and materials associated with Zad Organics are the exclusive property of Zad Organics and may not be used, reproduced, or distributed without prior written consent.
Termination
Zad Organics reserves the right to suspend or terminate its services or business relationship with any customer in the event of payment default, breach of these Terms, or misuse of services.
Governing Law
These Terms shall be governed by and construed in accordance with the laws of the United Arab Emirates.
Amendments
Zad Organics reserves the right to amend or update these Terms at any time. Continued use of services or engagement with Zad Organics shall constitute acceptance of any revised Terms.
